These Terms of Service (hereinafter referred to as the “Terms”) set forth the conditions for the use of [Service Name] (hereinafter referred to as the “Service”).
Users of the Service (hereinafter referred to as “Users”) agree to these Terms and use the Service accordingly.
Article 1 (Definitions)
- Service: A collective term for the web service and related features provided by the Company.
- User: An individual or legal entity who agrees to these Terms and has completed the registration process.
- Account: Registration information created by a User to access and use the Service.
- Content: Texts, data, projects, and other materials that Users generate, post, publish, modify, or republish through the Service.
- Project: The basic unit created and managed by a User on the Service, which may include multiple Trays and related data.
- Tray: A feature or tool generated by a User within the Service for managing and creating prompts.
- Parts: Component elements that constitute a Tray. Users can build a Tray by adding, editing, or deleting Parts.
- Buffet: A sharing function through which Users publish their Trays, enabling other Users to freely view, use, modify, and republish them.
- Company: Poppobit, Inc.
- Governing Law: The laws of the State of Delaware, USA, which govern the interpretation and application of these Terms.
Article 2 (Scope of Application)
- These Terms apply to all relationships related to the use of the Service.
- The Company may establish additional guidelines or individual provisions. Such guidelines and provisions constitute part of these Terms.
Article 3 (User Registration)
- Individuals who wish to use the Service must agree to these Terms, apply for registration in a manner prescribed by the Company, and the User Agreement shall be established upon approval by the Company.
- If any false or fraudulent information is found in the registration application, the Company may refuse or revoke its approval.
Article 4 (Account Management)
- Users shall manage their accounts and passwords responsibly.
- The Company shall not be liable for any damages resulting from unauthorized use of a User’s account.
Article 5 (Transfer of Projects)
- Projects may be transferred to other Users in a manner prescribed by the Company.
- All responsibilities arising from the transfer shall be borne by the transferor and transferee, and the Company shall bear no liability.
Article 6 (Handling of Content)
- Rights to Content generated, posted, or published by Users through the Service belong to the respective Users. The Company does not claim any rights thereto.
- Users may use, modify, or republish Content made public by other Users; provided, however, that they assume all responsibilities associated with such actions.
- Content published in Buffet is deemed freely usable, modifiable, and republishable by other Users. The publishing User shall not object to such use.
- Users must not publish Content that involves illegal activities, infringes third-party rights, or includes inappropriate expressions.
Article 7 (Prohibited Activities)
- Acts in violation of laws or regulations.
- Sexual or exploitative content targeting minors.
- Discriminatory expressions, hate speech, threats, violent expressions, or any conduct that attacks or harms others.
- Infringement of intellectual property rights, privacy, or other rights of the Company or third parties.
- Hacking, unauthorized access, probing or exploiting vulnerabilities, distribution of malware or viruses, or any action compromising security.
- Placing excessive load on the Service infrastructure (including excessive automated requests, spam, or DoS attacks).
- Registering false information or impersonating others.
- Sending spam emails, engaging in nuisance activities, or bulk sending without recipient consent.
- Any other conduct deemed inappropriate by the Company.
Article 8 (Eligibility)
- Users must be at least 18 years old and legally capable of entering into a binding contract in the United States.
- The use of the Service by minors is strictly prohibited.
Article 9 (Updates)
- The Company may periodically or irregularly update the Service, including bug fixes, new features, new models, and improvements in user experience.
- Users agree to receive such updates as a condition of using the Service.
Article 10 (Login Credentials)
- Access to the Service requires login credentials. The Company does not store such credentials.
- The Company bears no responsibility for storing or recovering lost credentials. Users are solely responsible for securely managing their access information for the Service.
- Users agree to indemnify the Company against any liabilities, losses, disputes, damages, claims, and reasonable costs and expenses (including attorneys’ fees) arising from the Company’s inability to access User Content due to encryption or other security measures.
Article 11 (Fees and Payment)
- The Service is subscription-based. Users shall pay fees in the manner specified by the Company.
- Payment is accepted by credit card only.
- Payments are non-refundable, except in cases such as duplicate charges caused by the Company’s fault.
- Fees are non-refundable even if the User does not use the Service or terminates it mid-term.
- No refunds will be made in cases of system failures, force majeure, or the User’s death.
- If prorated fees result in an amount less than USD 1.00, a minimum of USD 1.00 will be charged. When subscribing to multiple plans, this minimum applies to each plan separately (no post-aggregation minimum).
Article 12 (Billing Date)
- Users may select a billing date from multiple options specified by the Company.
- Users may change their billing date during the contract period; however, certain dates or times may be temporarily unavailable due to billing or payment system constraints.
- If a billing date change extends or shortens the contract term, prorated billing will apply. If the prorated amount is less than USD 1.00, the minimum charge in the preceding Article shall apply.
Article 13 (Service Suspension and Maintenance)
- The Company may suspend or interrupt all or part of the Service in the following cases:
- When performing system maintenance, inspection, or updates.
- When provision becomes difficult due to server failures, communication disruptions, or malfunctions of external services.
- In cases of natural disasters, power outages, changes in laws, or other force majeure events.
- The Company may conduct periodic or ad hoc maintenance, during which certain functions (including billing, plan changes, project transfers, and billing date changes) may be temporarily unavailable.
- The Company shall not be liable for any damages resulting from such suspension or interruption.
Article 14 (Data Management)
- While the Company strives to appropriately manage User data, it shall not be liable for data loss, leakage, or alteration caused by system failures, communication issues, or unauthorized acts of third parties, unless due to the Company’s willful misconduct or gross negligence.
- The Company does not guarantee data restoration. Users shall be responsible for making necessary backups.
- The timing of retention or deletion of User data after termination shall be at the Company’s discretion. The Company shall not be obligated to retain or restore data following termination.
Article 15 (Intellectual Property Rights)
- Copyrights, trademarks, and all other intellectual property rights related to the Service belong to the Company or rightful owners.
- Users may not reproduce, redistribute, or otherwise use information related to the Service without authorization from the rights holder.
Article 16 (Disclaimer and Limitation of Liability)
- The Company makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or completeness of the Service.
- The Company shall not be liable for damages incurred by Users arising from the use of the Service, except in cases of willful misconduct or gross negligence by the Company.
- Neither the User nor the Company shall be liable for indirect, special, consequential, incidental, or punitive damages, including lost profits.
Article 17 (Feedback and Promotions)
- The Company may freely use feedback or suggestions provided by Users without any obligation to provide compensation or credit.
- The Company may conduct promotions or contests from time to time, in which Users may be required to agree to additional terms and conditions.
Article 18 (Amendments to the Terms)
- The Company may revise these Terms when deemed necessary.
- Such revisions shall become effective once notified to Users in a manner prescribed by the Company.
Article 19 (Governing Law and Jurisdiction)
- These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA.
- In the event of a dispute related to the Service, the courts having jurisdiction over the location of the Company’s principal office shall be the exclusive court of first instance.
